1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Taxhance, Inc. ("Taxhance," "we," "us," or "our") governing your access to and use of the Taxhance web application, client portal, and all related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

If you are using our Services on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

2. Description of Services

Taxhance provides a cloud-based platform designed for tax professionals and Certified Public Accountant (CPA) firms to manage, organize, classify, and collaborate on tax documents with their clients. Our Services include, but are not limited to:

  • AI-powered document classification and organization;
  • Client portal for secure document upload and exchange;
  • Real-time messaging and communication tools;
  • Automated reminders and workflow management;
  • Customizable questionnaires and compliance templates;
  • Team collaboration and role-based access controls.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate, complete, and current information. You agree to update your account information promptly to keep it accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to notify us immediately of any unauthorized access to or use of your account. You are responsible for all activities that occur under your account, whether or not authorized by you.

3.3 Account Types

Our Services support multiple account types and roles, including organization owners, administrators, team members, and clients. Each role has different levels of access and permissions. You agree to use your account in accordance with the permissions granted to your role.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any purpose that is unlawful, fraudulent, or harmful;
  • Upload, transmit, or store any content that is infringing, defamatory, obscene, or otherwise objectionable;
  • Attempt to gain unauthorized access to the Services, other users' accounts, or any computer systems or networks connected to the Services;
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
  • Use any automated means, including bots, scrapers, or crawlers, to access the Services without our express written permission;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services;
  • Use the Services to transmit viruses, malware, or other harmful computer code;
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
  • Use the Services in any manner that could damage, disable, overburden, or impair the Services.

5. User Content and Data

5.1 Ownership

You retain all ownership rights in any content, documents, data, or other materials that you upload, submit, or transmit through the Services ("User Content"). By uploading User Content, you grant Taxhance a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Services.

5.2 Responsibility for User Content

You are solely responsible for the accuracy, legality, and appropriateness of all User Content you upload or transmit through the Services. You represent and warrant that you have all necessary rights to upload your User Content and that your User Content does not violate any third party's intellectual property, privacy, or other rights.

5.3 Tax Professional Responsibilities

If you are a tax professional using our Services to manage client information and documents, you acknowledge that you are responsible for obtaining any necessary consents from your clients before uploading their personal information or tax documents to the Services. You agree to comply with all applicable professional standards and regulations governing your relationship with your clients.

5.4 Data Controller and Data Processor

Where you provide us with Personal Data relating to individuals (including your clients), you are acting as the data controller and Taxhance is the data processor. As data controller, you are responsible for protecting the Personal Data you process and for complying with all applicable data protection and privacy laws that govern your use of that data. Taxhance will process Personal Data only in accordance with your instructions and as necessary to provide the Services. You must have a lawful basis for providing such data to Taxhance and for any processing you direct us to perform on your behalf.

6. AI-Powered Features

Our Services utilize artificial intelligence to classify and organize tax documents. AI features are powered by enterprise-grade third-party AI providers. By using AI features within the Services, you agree to Taxhance using these providers' models to process your data as described in our Privacy Policy. The following safeguards apply to all AI processing:

  • No training: Your data and your clients' data is never used to train AI models;
  • Zero retention: Data transmitted for AI processing is not stored by AI providers beyond the immediate processing request;
  • Encrypted in transit: All data transfers to AI endpoints use TLS 1.3 encryption;
  • Minimal transmission: Only the essential data required for document classification is transmitted to AI endpoints;
  • Enterprise services: Taxhance relies on enterprise-tier APIs designed for sensitive business workloads, not public consumer endpoints;
  • US-based storage: All data is stored within the United States regardless of AI processing.

You acknowledge and agree that AI-generated classifications are provided for organizational purposes and should be reviewed by a qualified professional before reliance. Taxhance does not guarantee the accuracy of any AI-generated output, and you are responsible for verifying classifications before relying on them for tax preparation or filing.

7. Intellectual Property

7.1 Taxhance Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, logos, trademarks, and other content provided by Taxhance, are the exclusive property of Taxhance or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Services except the limited right to use the Services as expressly set forth herein.

7.2 Feedback

If you provide us with any suggestions, feedback, or ideas regarding the Services ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use, copy, modify, and distribute such Feedback in any manner and for any purpose without compensation or attribution to you.

8. Payment and Billing

Certain features of the Services may require payment of fees. If you subscribe to a paid plan, you agree to the following:

  • You will provide accurate and complete billing information;
  • You authorize us to charge your designated payment method for all fees incurred in connection with your subscription;
  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan);
  • All fees are non-refundable except as expressly stated in these Terms or as required by applicable law;
  • We reserve the right to change our pricing at any time, with reasonable advance notice to you.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us at contact@taxhance.com. Upon termination, your right to access and use the Services will cease immediately.

9.2 Termination by Taxhance

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Without limiting the foregoing, we may terminate your account if you breach any provision of these Terms, engage in conduct that we determine, in our sole discretion, is harmful to other users or to Taxhance.

9.3 Effect of Termination

Upon termination, your license to use the Services will immediately cease. We may retain your data for a reasonable period to comply with legal obligations, resolve disputes, and enforce our agreements. You may request export of your data prior to termination.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TAXHANCE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TAXHANCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TAXHANCE DOES NOT PROVIDE TAX, LEGAL, OR FINANCIAL ADVICE THROUGH THE SERVICES. ANY INFORMATION PROVIDED THROUGH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL TAX, LEGAL, OR FINANCIAL ADVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAXHANCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TAXHANCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TAXHANCE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO TAXHANCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Taxhance, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your User Content; (d) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (e) any dispute between you and a third party relating to the Services.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware. The decision of the arbitrator shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For material changes, we may also provide additional notice, such as an email notification or an in-app alert. Your continued use of the Services after the effective date of the modified Terms constitutes your acceptance of the modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Taxhance with respect to your use of the Services and supersede all prior or contemporaneous communications, agreements, and understandings between you and Taxhance.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

15.3 Waiver

The failure of Taxhance to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by Taxhance.

15.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties' successors and permitted assigns.

15.5 Force Majeure

Taxhance shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, labor disputes, power failures, internet outages, or third-party service disruptions.
